Welcome to Spavox Marketplace (“Spavox”, “we”, “us”, “our”). Spavox operates an online platform that connects customers (“Customers”, “you”) with independent third-party vendors (“Vendors”) offering goods and services near them.
By accessing or using Spavox Marketplace via our website, mobile app, or any related services, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use the platform.
1. Nature of Service
1.1 Platform Role: Spavox is a technology platform and intermediary. We connect Customers with Vendors but are not a Vendor, seller, reseller, or provider of any goods or services listed on the platform.
1.2 No Agency: We do not employ, endorse, or guarantee Vendors. Any transaction is solely between the Customer and the Vendor.
1.3 Service Area: Spavox currently operates in select locations. Availability of Vendors may vary by area.
2. User Accounts
2.1 Eligibility: You must be at least 18 years old and capable of entering binding contracts under Nigerian law to use Spavox.
2.2 Account Accuracy: You agree to provide accurate, current, and complete information during registration and keep it updated.
2.3 Account Security: You are responsible for safeguarding your password and all activities under your account. Notify us immediately of unauthorized use at support@spavox.com.
2.4 Account Termination: We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraud, or harm other users.
3. Vendor Listings & Transactions
3.1 Vendor Independence: Vendors are independent businesses. Spavox does not control pricing, quality, timing, or legality of items/services listed.
3.2 Listings: While we encourage accuracy, we do not guarantee that product descriptions, photos, pricing, or availability are error-free or up-to-date.
3.3 Orders & Payments: All orders are subject to Vendor acceptance. Payment methods may include card, bank transfer, or other options displayed at checkout. Spavox may collect payment on behalf of Vendors.
3.4 Pricing & Fees: Vendors set prices. Spavox may charge service fees, delivery fees, or commissions, which will be shown before you complete an order.
3.5 Order Fulfillment: Vendors are solely responsible for fulfillment, delivery, and customer service related to their goods/services.
4. Customer Responsibilities
4.1 You agree to use Spavox only for lawful purposes.
4.2 You will not harass, defraud, or misrepresent yourself to Vendors or other users.
4.3 You must inspect goods/services upon delivery and report issues within 24 hours where possible.
4.4 You understand that reviews must be honest, fair, and based on genuine experience. Fake reviews may result in account termination.
5. Vendor Responsibilities
5.1 Vendors must be legally authorized to sell their goods/services and comply with all applicable laws, including tax, health, safety, and licensing regulations.
5.2 Vendors must provide accurate listings, honor confirmed orders, and maintain reasonable customer service standards.
5.3 Prohibited items include but are not limited to: illegal goods, counterfeit products, weapons, drugs, and adult content. Full list in our Vendor Policy.
6. Cancellations, Returns & Refunds
6.1 Customer Cancellations: You may cancel orders before Vendor acceptance or dispatch, subject to the Vendor’s cancellation policy.
6.2 Returns & Refunds: Each Vendor sets their own return/refund policy, which will be displayed on their store page. Spavox will facilitate disputes but does not guarantee refunds unless required by law.
6.3 Failed Delivery: If delivery fails due to incorrect address or unavailability, you may be charged redelivery fees.
6.4 Disputes: For disputes, contact the Vendor first. If unresolved, contact Spavox Support within 7 days of delivery. We will mediate but final resolution rests with the Vendor unless consumer protection law applies.
7. Intellectual Property
7.1 Our Content: All Spavox logos, software, designs, and content are owned by Spavox and protected by copyright and trademark law. You may not copy or use them without permission.
7.2 User Content: By posting reviews, photos, or comments, you grant Spavox a non-exclusive, royalty-free license to use, display, and distribute that content on the platform.
8. Limitation of Liability
8.1 Spavox is not liable for the actions, products, or services of Vendors. You use the platform at your own risk.
8.2 To the fullest extent permitted by law, Spavox will not be liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or goodwill.
8.3 Our total liability for any claim related to the service will not exceed the total fees you paid to Spavox in the 3 months prior to the claim.
9. Privacy
9.1 Your use of Spavox is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data in line with the Nigeria Data Protection Regulation (NDPR).
9.2 By using Spavox, you consent to us sharing necessary details with Vendors to fulfill orders, e.g. name, phone, delivery address.
10. Prohibited Conduct
You agree not to:
• Use Spavox for any illegal activity or to sell prohibited items • Attempt to circumvent fees or contact Vendors outside the platform to avoid commissions • Upload viruses, spam, or malicious code • Scrape, copy, or resell platform data • Impersonate any person or entity 11. Modifications to Terms
We may update these Terms at any time. Changes will be posted with a new “Last Updated” date. Continued use after changes means you accept the new Terms.
12. Termination
We may suspend or terminate your access to Spavox at our discretion, with or without notice, for violations of these Terms or for any other reason.
13. Governing Law & Dispute Resolution
13.1 These Terms are governed by the laws of the Federal Republic of Nigeria.
13.2 Any dispute shall first be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to mediation in Aba, Abia State, before pursuing court action.

SPAVOX MARKETPLACE – VENDOR AGREEMENT
This Vendor Agreement ("Agreement") is entered into by and between Spavox Marketplace ("Company," "We," "Us," or "Our") and the undersigned or registering vendor ("Vendor," "You," or "Your").
By registering as a Vendor on Spavox Marketplace, you agree to be bound by the terms and conditions outlined below.
1. Purpose & Scope of Services
Spavox Marketplace provides an online platform that allows independent vendors to list, market, and sell their products to buyers.
Our Role: Spavox provides the platform, hosting, and payment processing infrastructure. We do not take possession of, nor do we introduce warranties for, the physical products sold by the Vendor.
Your Role: You are an independent contractor responsible for creating your listings, managing inventory, pricing, and fulfilling orders.
2. Vendor Account & Listings
2.1 Accuracy of Information
You agree to provide true, accurate, and current information during registration. You must keep your store profile, contact information, and payout details up to date.
2.2 Product Compliance
You are solely responsible for the products you list. You warrant that:
You have the legal right to sell the products.
The products do not infringe on any third-party intellectual property, trademarks, or copyrights.
The products comply with all local, national, and international laws (including safety, labeling, and hazardous material regulations).
2.3 Prohibited Items
You may not list illegal goods, counterfeit items, weapons, offensive material, or any products explicitly banned in the Spavox Marketplace Prohibited Items Policy.
3. Fees, Commission, & Payouts
3.1 Fee Structure
Spavox Marketplace operates on a commission and subscription basis as outlined below:
3.2 Payout Schedule
Funds from sales will be held in escrow for a security period of [e.g., 7 to 14 days] to account for potential customer returns or disputes.
Payouts will be transferred to your designated bank account or payment gateway on a [e.g., Weekly / Bi-weekly / Monthly] basis, minus applicable marketplace fees.
4. Fulfillment, Shipping, & Customer Service
4.1 Order Processing
You agree to process and ship orders within [e.g., 48 hours] of receiving notice of a purchase. If a delay occurs, you must promptly notify the customer and Spavox support.
4.2 Packaging and Shipping
You are responsible for safely packaging and shipping items. You must provide valid tracking information to the buyer via the Spavox dashboard.
4.3 Customer Support
Vendors are expected to handle primary customer inquiries regarding their products and shipping status. Responses to customer queries must be made within [e.g., 24-48 hours].
5. Returns, Refunds, & Disputes
5.1 Return Policy
You agree to adhere to the standard Spavox Marketplace Return Policy [OR: Your store's individual return policy, provided it meets Spavox’s minimum baseline of a 14-day return window for defective items].
5.2 Refunds
If a refund is issued due to a defective product, item not as described, or non-delivery, the Vendor will bear the full cost of the refund, including original shipping fees. Spavox reserves the right to deduct these funds from the Vendor’s account balance.
6. Intellectual Property
Your Content: You grant Spavox Marketplace a non-exclusive, worldwide, royalty-free license to use, display, and promote your product images, descriptions, and brand logos for marketing purposes.
Our Content: You may not use Spavox branding, logos, or proprietary software for any purpose outside of operating your store on the platform without explicit written consent.
7. Termination
By Vendor: You may terminate this Agreement at any time by closing your store and fulfilling any outstanding orders.
By Spavox: We reserve the right to suspend or terminate your account immediately, without notice, if you breach this Agreement, receive excessive customer complaints, engage in fraudulent activity, or harm the reputation of Spavox Marketplace.
8. Limitation of Liability & Indemnification
Limitation: Spavox Marketplace is provided "as is." We are not liable for any lost profits, data, or indirect damages resulting from platform downtime or system failures.
Indemnification: You agree to indemnify and hold harmless Spavox Marketplace, its officers, and employees from any claims, damages, or legal fees arising out of your products, your breach of this agreement, or your violation of any laws.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Your Country/State/Region], without regard to its conflict of law provisions.
Acknowledgement & Acceptance
By clicking "I Agree," registering your shop, or continuing to list products on Spavox Marketplace, you acknowledge that you have read, understood, and agree to be bound by all the terms of this Vendor Agreement.
